How do you incorporate a VCC in Singapore?


The process of incorporating a VCC is similar to that of a private company limited by shares, save that all VCCs must be managed by a Permissible Fund Manager. A VCC can be incorporated as a non-umbrella VCC or an umbrella VCC with two or more sub-funds, each holding a portfolio of segregated assets and liabilities. All applications are done through the VCC Register, managed by ACRA.

An applicant will need to first apply for the reservation of the VCC name, and thereafter submit the various incorporation documents (such as the constitution and various consents to act).

The application for incorporation will be reviewed by ACRA (and any other authorities, if applicable), before the incorporation is completed.
